These Terms of Service (the "Terms") are a contract between webinstudio, a sole proprietorship registered in the Republic of Korea (owner Juhan Lee, business registration 145-65-00656, 404-1301, 151 Wolsan-ro, Gimhae-si, Gyeongsangnam-do, contact@webinstudio.co.kr), and the business that uses Webin Agency Operations (the "Service", the "Customer"). By receiving an account and signing in, or by paying for a subscription, the Customer agrees to these Terms and to the Data Processing Addendum in Part B.
For Customers with an address in the Republic of Korea the Korean version is the contract language; for all other Customers the English version is. The two versions are kept identical in substance, and where a translation differs the contract-language version applies.
Part A. Terms of Service
1. The Service
The Service is a web application in which an agency or studio records a project's estimates, change requests, time, expenses, costs, invoices and payments in one place, and carries an approved change through internal and client approval into the contract, plan and billing. Every change to an amount or state keeps its version and reason and cannot be deleted.
The Service is not an e-signature service, an accounting system or a tax filing tool. The estimate and invoice PDFs it produces are documents the Customer sends to its own clients; they are not statutory tax invoices or e-signature evidence.
2. Who may use the Service
The Service is for businesses. The Customer must be a company or a registered sole proprietor, and the person who receives the account or pays for the subscription must be authorised to contract on its behalf.
3. Accounts and users
The Customer creates the company workspace and the owner account on the signup page, or webinstudio creates them at the Customer's request. With self-service signup the account is created, and the 14-day trial starts, only when the confirmation link sent to the email address entered is opened within 24 hours. Further users (manager, member, client reviewer) are created by webinstudio at the Customer's request. The Customer is responsible for its users' passwords and for what they do in the Service. A client reviewer account sees only the projects the Customer assigns and can only approve or reject.
4. Trial, fees and payment
4.1 Trial
A new workspace may use every feature for 14 days from the day it is created, with no payment method required. When the trial ends the workspace becomes read-only until a subscription is paid: saved records can be viewed and exported, but nothing new can be recorded or changed.
4.2 Fees
| Plan (internal users) | Monthly | Annual |
|---|---|---|
| Standard, up to 30 users | US$39 per month | US$390 per year |
| Standard, up to 60 users | US$79 per month | US$790 per year |
Client reviewer accounts are free and unlimited. The founding-customer discount (the first 10 workspaces, coupon FOUNDING40) takes 40% off the first year of an annual subscription; renewals are at the list price. Taxes such as VAT are calculated and added at checkout according to the buyer's country.
4.3 Payment provider and merchant of record
Subscriptions are charged by webinstudio's payment provider Freemius, Inc. ("Freemius") as the merchant of record on its own checkout page. Freemius's Terms of Sale, shown on the checkout page, apply alongside these Terms to payment, receipts, tax calculation and collection, and refund handling. webinstudio never receives card details.
4.4 Automatic renewal and cancellation
A subscription renews automatically at the same fee for the period the Customer chose (monthly or annual). For annual subscriptions Freemius emails a reminder 30 days before renewal. The Customer may cancel at any time before the next renewal through the subscription management link in the Freemius receipt email or by emailing contact@webinstudio.co.kr, and keeps using the Service until the paid period ends.
4.5 Refunds
If within 30 days of a payment a problem makes the Service unusable and webinstudio cannot resolve it, the payment is refunded in full. Other refund requests are decided case by case. Refunds are returned through Freemius to the original payment method.
4.6 Fee changes
We email owner accounts 30 days before a fee change applies, and the Customer may terminate before then. A period already paid for is not repriced.
5. Your responsibilities
- You collected the client and staff data you enter lawfully and are allowed to store it in the Service.
- You check the estimate and invoice amounts, tax rates, currencies and rates. The Service calculates from your input and helps you reconcile, but does not warrant the legal effect of any amount.
- You do not use the Service to infringe anyone's rights or break the law.
- You do not probe or bypass the Service's security. Report a security flaw to contact@webinstudio.co.kr.
- You stay within your plan's number of internal users. If you exceed it, webinstudio may ask you to move to the larger plan.
6. Communications with your clients
The Service sends no email to your clients. When a client reviewer approves or rejects inside the Service, only the decision is recorded; delivering estimates and invoices to your clients is your task.
7. Data
The data you enter is yours. webinstudio accesses it only as needed to provide the Service, respond to incidents, investigate security issues and comply with the law. You can export your data as CSV, JSON or PDF at any time, and it is deleted within 30 days after termination. Part B and the Privacy Policy have the details.
8. Intellectual property
The Service's software, screens, copy and translations belong to webinstudio. The Customer receives only the right to use the Service during the contract and may not copy, resell or reverse engineer it. Logos and documents the Customer uploads remain the Customer's.
9. Availability and changes
webinstudio works to keep the Service running but does not warrant a numeric uptime. Planned maintenance is announced 24 hours ahead where possible. When a feature changes or is removed, owner accounts are notified in advance and data export stays available.
10. Warranties and liability
The Service is provided "as is". To the extent the law allows, webinstudio does not warrant fitness for a particular purpose or freedom from errors. webinstudio's liability for damages is limited to the fees the Customer paid in the 12 months before the month in which the damage occurred. This limit does not apply to damage caused intentionally or by gross negligence, or where the law does not allow it.
11. Term and termination
The contract starts when the account is created. The Customer may terminate at any time by email and may use the Service until the paid period ends. webinstudio may terminate with 14 days' notice if these Terms are materially breached.
A workspace whose trial or subscription has ended stays read-only. If no subscription is in place 60 days after the trial ended or 30 days after the subscription ended, webinstudio may delete the workspace after notifying the owner accounts by email. A workspace whose termination was requested can be exported for 30 days and is deleted after that.
12. Renewal notice and restrictive clauses
Subscriptions renew automatically as described in 4.4, and the Customer may cancel at any time before the next renewal. These Terms contain no non-compete, non-disparagement or mandatory arbitration clauses.
13. Governing law and disputes
These Terms are governed by the law of the Republic of Korea. Disputes are first discussed by email; if unresolved, they are brought before the Korean court with jurisdiction over webinstudio's place of business under the Korean Civil Procedure Act.
14. Changes to these Terms
When we change these Terms we update the effective date and version on this page. Changes that are unfavourable to the Customer are emailed to owner accounts 30 days before they take effect, and the Customer may terminate before then.
15. Contact
Part B. Data Processing Addendum
B1. Roles
For the personal data of the Customer's clients, client contacts and staff that the Customer enters, the Customer is the controller and webinstudio is the processor. For the account data and the subscription and billing data of the Customer's users, webinstudio is the controller and the Privacy Policy applies.
B2. Subject matter, duration, nature and purpose
| Item | Detail |
|---|---|
| Data subjects | The Customer's client contacts, the Customer's staff and contractors, client reviewers the Customer designates |
| Data | Name, email, phone, organisation, role, time entries, rates, approval and rejection records, notes, and whatever appears in receipt and proof files |
| Nature | Storage, retrieval, calculation, export, backup, deletion |
| Purpose | Managing the Customer's project estimates, changes, time, expenses and billing |
| Duration | The contract term plus a 30-day deletion grace period |
B3. Instructions
webinstudio processes only on the Customer's documented instructions: these Terms, settings and actions inside the Service, and email requests. If an instruction appears to breach the law, we say so at once.
B4. Confidentiality and access
One person, webinstudio's owner, has access to the data and is bound to confidentiality. We do not open Customer data beyond what incident response and support requests require.
B5. Security measures
The measures in section 9 of the Privacy Policy apply: hashed passwords and session tokens, HTTPS and secure cookies, server-side workspace and role checks, login rate limits, an immutable change history, daily backups with integrity checks, encrypted-at-rest off-server copies, key-based SSH.
B6. Sub-processors
The current sub-processor is Amazon Web Services (Seoul region; servers, storage and Object Storage backups). The payment provider Freemius processes subscription and billing data only and never the Customer's work data, so it is not a sub-processor. We notify owner accounts by email 30 days before adding or replacing a sub-processor, and the Customer may object on reasonable grounds or terminate.
B7. International transfers
webinstudio does not transfer the Customer's work data outside the Republic of Korea. The transfer of the owner's email address for subscription payment is described in section 5 of the Privacy Policy.
B8. Assistance
So that the Customer can answer data subject requests and supervisory authorities, we export or delete the relevant records within 10 days of the Customer's request.
B9. Deletion
At the end of the contract we export the data at the Customer's choice and delete it within 30 days. Backup copies expire within a further 14 days.
B10. Security incidents
If we become aware of a breach affecting Customer data, we email owner accounts within 72 hours with what is known, the scope and the measures taken.
B11. Customers in the European Union and the United Kingdom
For Customers in the EU or the UK this Addendum serves as the processor contract required by Article 28 GDPR. The Customer's data reaches servers in the Republic of Korea under the European Commission's adequacy decision for Korea (December 2021), so no standard contractual clauses are needed. On written request we provide a signed copy of this Addendum.
